“Mymax Academy” Service Agreement

To
use the services of Mymax Academy, you should read
and comply with the Mymax Academy User Service
Agreement (hereinafter referred to as "this Agreement"). Please read
carefully and fully understand the content of each term, especially those that
exempt or limit the liability of Mymax Academy,
restrict user rights, stipulate dispute resolution methods and jurisdiction
(such as the relevant provisions of Article 18), as well as separate agreements
or rules for activating or using a particular service. Terms that limit, exempt
from liability, or otherwise involve your significant interests may be
highlighted in bold, underlined, or other forms to draw your attention.
Unless
you have fully read, fully understood, and accepted all the terms of this
Agreement, you are not entitled to use the services of Mymax
Academy. Your click on "Agree" or
"Next", or your use of the Mymax Academy
services, or any other explicit or implicit expression of acceptance of this
Agreement, is deemed as you have read and agreed to sign this Agreement. This
Agreement shall have legal effect between you and Mymax
Academy and becomes a legally binding document on both parties.
If
you do not have full civil conduct capacity due to factors such as age or
mental capacity, please read and judge whether to agree to this Agreement under
the accompaniment of your legal guardian (hereinafter referred to as the
"Guardian"), and pay special attention to the terms of use for
minors.
If
you are a user outside the mainland of China, you also need to comply with the
laws of your country or region when you enter into or perform this Agreement.
Article
1: Scope of the Agreement
1.1
This Agreement is the agreement entered into between the user and Mymax Academy regarding the use of Mymax
Academy's services. "Mymax Academy" refers
to Mymax Academy and/or its related operational
entities that may exist. "User" refers to the user of Mymax Academy's services, referred to as "you" in
this Agreement.
1.2
The services of Mymax Academy refer to the services
provided by Mymax Academy to the users, including but
not limited to internet value-added tools, with the specific services subject
to what Mymax Academy actually provides (hereinafter
referred to as "the Services").
1.3
The content of this Agreement also includes the Mymax
Academy User Privacy Agreement, and when you use a specific service of Mymax Academy, that service may have a separate agreement,
related business rules, etc. (hereinafter collectively referred to as
"Separate Agreements"). Once the above content is officially
released, it becomes an integral part of this Agreement, and you should also
comply with it. Your acceptance of any of the aforementioned separate
agreements is deemed as your acceptance of this Agreement in its entirety. Your
acceptance of this Agreement is deemed as your acceptance of the Mymax Academy User Privacy Agreement.
Article
2: Account Security
2.1
You may need to authorize an account when using the Services. Please carefully
read and comply with the relevant separate agreements regarding the specific
rules for using your account.
2.2
When using the Services, you may be able to set nicknames, avatars, signatures,
messages, etc., for the account you use, and you may also set names, pictures,
introductions, etc., for the online classes you establish or manage,
participate in. You should ensure that the content and form of this information
comply with laws and regulations ("laws and regulations" in this
Agreement refer to the current effective laws, administrative regulations,
judicial interpretations, local regulations, local rules, departmental rules,
and other normative documents of the user's region or country, as well as the
modifications and supplements thereto from time to time, and the relevant
policy provisions, etc., with the same meaning below), public order and good
customs, and the rules of the Mymax Academy platform,
and do not infringe upon the legitimate rights and interests of any entity.
Article
3: User Personal Information Protection
3.1
Protecting user personal information is a fundamental principle of Mymax Academy. Mymax Academy will
collect, use, store, and share your personal information, including your avatar
and nickname, in accordance with the provisions of this Agreement and the Mymax Academy Privacy Policy. If this Agreement does not
specify the protection of personal information, it should be subject to the
content of the Mymax Academy Privacy Policy.
3.2
When you register for an account or use the Services, you may need to fill in
some necessary information. If there are special provisions in national laws
and regulations, you need to fill in true identity information. If the
information you fill in is incomplete, you may not be able to use the Services
or may be restricted during use.
3.3
Under normal circumstances, you can view and modify the information you
submitted according to the relevant product rules, but for the sake of security
and identity recognition (such as number appeal services, etc.), you may not be
able to modify the initial registration information and other verification
information provided during registration.
3.4
Mymax Academy will use various security technologies
and procedures to establish a comprehensive management system to protect your
personal information from unauthorized access, use, or disclosure.
3.5
Mymax Academy will not transfer or disclose your
personal information to any third party unless:
(1)
Required by relevant laws, regulations, judicial authorities, or administrative
authorities.
(2)
Transferred for the completion of mergers, divisions, acquisitions, or asset
transfers.
(3)
Necessary to provide the services you requested.
(4)
Circumstances where it can be transferred or disclosed to any third party
according to the Mymax Academy Privacy Policy or
other relevant agreement rules.
3.6
Mymax Academy attaches great importance to the
protection of minors' personal information. If you do not have full civil
conduct capacity, you should obtain the consent of your guardian before using
the services of Mymax Academy.
Article
4: Method of Using the Services
4.1
The Services are for your personal non-commercial use only, unless you have a
separate agreement with Mymax Academy.
4.2
The rights you obtain under the terms of this Agreement are non-transferable.
4.3
You may not use any means (including but not limited to third-party software,
plugins, add-ons, systems, devices, etc.) to interfere with, damage, modify, or
otherwise affect the Services.
4.4
You should use the Services through methods provided or recognized by Mymax Academy and may not log in to or use the Services
through any third-party software, plugins, add-ons, systems, devices, etc.
4.5
No one may use any third-party software, plugins, add-ons, systems, etc., to
view, obtain any information, data, etc., included in the Services by Mymax Academy, Mymax Academy
partners, or users, and should strictly comply with the agreements and other
related agreement rules published by Mymax Academy.
Article
5: Service Provided "As Is"
You
understand and agree that:
5.1
The Services are provided as they are achievable with existing technology and
conditions. Mymax Academy will make every effort to
ensure the continuity and security of the Services, but Mymax
Academy cannot foresee and prevent legal, technical, and other risks at any
time. Mymax Academy is exempt from liability for such
risks to the extent permitted by law, including but not limited to force
majeure, viruses, Trojans, hacker attacks, system instability, third-party
service flaws, government actions, and other reasons that may lead to service
interruptions, data loss, and other losses and risks.
5.2
Due to business strategy arrangements or adjustments, the specific content of Mymax Academy services available to users in different
regions may vary, subject to what Mymax Academy
actually provides.
Article
6: Self-Prepared Equipment
6.1
You should understand that you need to prepare terminal equipment (such as
computers, mobile terminals, and necessary network access equipment) related to
the Services yourself and bear the required costs (such as telephone fees,
internet fees, etc.).
6.2
You understand and agree that using the Services will consume resources such as
your terminal equipment and bandwidth.
Article
7: Advertising
7.1
You agree that Mymax Academy may send or display
advertisements or other information (including commercial and non-commercial
information) to you through various means such as text messages, emails, or
electronic information by itself or by third parties. The specific form,
frequency, and content of the advertisements or other information sent or
displayed are subject to what Mymax Academy actually
provides.
7.2
Mymax Academy will carry out advertising business in
accordance with the requirements of relevant laws and regulations. You agree
that for advertisements appearing in the Services, you should carefully judge
their authenticity and reliability, and you are responsible for actions taken
because of the advertisement, except as explicitly provided by law.
Article
8: Service Fees
8.1
Some services of Mymax Academy are provided on a
fee-charging basis. If you use fee-charging services, please comply with the
relevant agreements.
8.2
Mymax Academy may modify and change the charging
standards and methods of fee-charging services according to actual needs, and Mymax Academy may also start charging for some free
services. Before the aforementioned modifications, changes, or fee collection, Mymax Academy will notify or announce on the corresponding
service pages. If you do not agree with the aforementioned modifications,
changes, or paid content, you should stop using the service.
8.3
When Mymax Academy reduces the charging standards of
fee-charging services or provides fee-charging services for free, Mymax Academy reserves the right not to refund or adjust
fees for the original paying users.
**Article
9: Service Provided Based on Software**
9.1
Unless Mymax Academy gives written permission, you
may not engage in any of the following actions:
(1)
Deleting copyright information on the software and its copies.
(2)
Reverse engineering, reverse compiling, reverse assembling the software, or
attempting to discover the source code of the software in any other way.
(3)
Using, renting, lending, copying, modifying, linking, reprinting, compiling,
publishing, establishing mirror sites, etc., of the content owned by Mymax Academy's intellectual property rights.
(4)
Copying, modifying, adding, deleting, hanging, running, or creating any
derivative works of the data released to any terminal memory during the
software operation, the interactive data between the client and the server
during the software operation, and the system data necessary for the software
operation, including but not limited to using plugins, add-ons, or third-party
tool services not authorized by Mymax Academy to
access the software and related systems.
(5)
Modifying or forging instructions, data, or any other way during the software
operation, increasing, deleting, changing the functions or operation effects of
the software, or operating or disseminating the software, methods for the
aforementioned purposes to the public, whether or not these actions are for
commercial purposes.
**Article
10: Intellectual Property Statement**
10.1
The intellectual property rights of the content (including but not limited to
web pages, text, pictures, audio, video, charts, computer software, etc.)
provided in the Services belong to Mymax Academy. The
intellectual property rights of the content generated by users when using the
Services belong to the users or relevant right holders, unless you have a
separate agreement with Mymax Academy.
10.2
Unless otherwise stated, the copyright, patent rights, and other intellectual
property rights of the software relied upon by Mymax
Academy when providing the Services are all owned by Mymax
Academy.
10.3
The copyright or trademark rights of the commercial symbols such as "Mymax Academy" used by Mymax
Academy in the Services belong to Mymax Academy.
10.4
The intellectual property rights of the aforementioned and any other content
included in the Services are protected by laws and regulations. No one may use
or create related derivative works in any form without the written permission
of Mymax Academy, users, or relevant right holders.
**Article
11: User Illegal and Violent Behavior**
11.1
When using the Services, you must comply with laws and regulations and must not
create, copy, publish, disseminate information containing the following content
or engage in related behaviors, nor provide convenience for creating, copying,
publishing, disseminating information containing the following content or
engaging in related behaviors:
(1)
Opposing the basic principles determined by the Constitution.
(2)
Endangering national security, leaking state secrets, subverting the state
power, and undermining national unity.
(3)
Damaging the national honor and interests.
(4)
Inciting ethnic hatred, ethnic discrimination, and undermining national unity.
(5)
Undermining national religious policies, promoting cults, and feudal
superstitions.
(6)
Spreading rumors, disturbing social order, and undermining social stability.
(7)
Spreading obscene, pornographic, gambling, violent, homicide, terrorist, or
crime-inciting content.
(8)
Insulting or defaming others and infringing on the legitimate rights and
interests of others.
(9)
Violating the "seven bottom lines" requirements of legal and
regulatory bottom lines, the bottom line of the socialist system, the bottom
line of national interests, the bottom line of citizens' legitimate rights and
interests, the bottom line of social public order, the bottom line of moral
customs, and the bottom line of information authenticity.
(10)
Prohibited by relevant laws, regulations, this Agreement, or related
agreements, rules, etc.
11.2
If you violate relevant laws and regulations or the provisions of this
Agreement during the use of the Services, relevant state agencies or
institutions may initiate litigation, impose fines, or take other punitive
measures against you and request assistance from Mymax
Academy. If you or others suffer damage as a result, you should bear full
responsibility, and Mymax Academy assumes no
responsibility.
11.3
If you violate the provisions of this Agreement, Mymax
Academy has the right to make an independent judgment and take corresponding
measures, including but not limited to deleting, blocking, or disconnecting
links through technical means. At the same time, Mymax
Academy has the right to take measures including but not limited to suspending
or terminating the provision of services to you, restricting, suspending,
freezing, or terminating your use of Mymax Academy
accounts, Mymax Academy accounts, and pursuing legal
responsibilities, depending on the nature of the user's actions.
11.4
If you violate the provisions of this Agreement and cause any entity to suffer
losses, you should bear the responsibility independently; if Mymax Academy suffers losses as a result, you should also
compensate for them.
**Article
12: Compliance with Local Legal Supervision**
12.1
When using the Services, you should comply with the relevant local laws and
regulations and respect the local morals and customs. If your actions violate
local laws and regulations or moral customs, you should bear the responsibility
independently.
12.2
You should avoid using the Services in a way that causes Mymax
Academy to violate laws and regulations or become involved in political and
public events; otherwise, Mymax Academy has the right
to suspend or terminate the service to you.
**Article
13: User-Sent and Disseminated Content and Complaint Handling**
13.1
The content sent or disseminated through the Services (including but not
limited to web pages, text, pictures, audio, video, charts, etc.) is your
responsibility.
13.2
The content you send or disseminate should have a legal source, and the related
content should be owned by you or you have obtained the necessary
authorization.
13.3
If the content you send or disseminate is illegal or infringes on the rights of
others, Mymax Academy has the right to make an
independent judgment and take measures such as deletion, blocking, or
disconnecting links.
13.4
If you are complained about by others or you complain about others, Mymax Academy has the right to provide the necessary
information such as the principal information, contact information, and
complaint-related content of the parties involved in the dispute to the
relevant parties or relevant departments to resolve the complaint dispute in a
timely manner and protect the legitimate rights and interests of all parties.
13.5
You guarantee the authenticity, legality, and validity of the information,
materials, evidence, etc., you provide in the complaint handling process.
**Article
14: Force Majeure and Other Exempted Reasons**
14.1
You understand and agree that when using the Services, you may encounter force
majeure and other risk factors that affect the Services. Force majeure refers
to objective events that cannot be foreseen, overcome, or avoided and have a
significant impact on one or both parties, including but not limited to natural
disasters such as floods, earthquakes, epidemics, and storms, as well as social
events such as wars, riots, and government actions. In the event of the
aforementioned situations, Mymax Academy will strive
to cooperate with relevant units at the first time to strive for timely
processing, but Mymax Academy is exempt from
liability for losses caused to you to the extent permitted by law.
14.2
Within the scope permitted by law, Mymax Academy is
not responsible for service interruptions or obstructions caused by the
following circumstances:
(1)
Destruction caused by computer viruses, Trojans, or other malicious programs,
hacker attacks.
(2)
Failures in computer software, systems, hardware, and communication lines of
users or Mymax Academy.
(3)
Improper operation by users or use of the Services by users through
unauthorized means by Mymax Academy.
(4)
Outdated program versions, equipment aging, and compatibility issues.
(5)
Other circumstances that Mymax Academy cannot control
or reasonably foresee.
14.3
You understand and agree that when using the Services, you may encounter risks
brought by network information or other user behaviors. Mymax
Academy is not responsible for the authenticity, applicability, or legality of
any information, nor is it responsible for damages caused to you by infringing
acts. These risks include but are not limited to:
(1)
Information containing threats, defamation, offensiveness, or illegal content
from others anonymously or under false pretenses.
(2)
Misleading, deception, or other actions by others that lead to or may lead to
any psychological, physiological harm, and economic losses.
(3)
Other risks caused by network information or user behaviors.
14.4
Mymax Academy has the right to handle illegal and
violent content according to the provisions of this Agreement. This right does
not constitute an obligation or commitment of Mymax
Academy, and Mymax Academy cannot guarantee the
timely discovery of illegal actions or corresponding processing.
14.5
Under no circumstances should you easily believe in borrowing, asking for
passwords, or other information involving property. For property operations,
please verify the identity of the other party first and always pay attention to
Mymax Academy's prompts to prevent fraud and crime.
**Article
15: Effectiveness and Modification of the Agreement**
15.1
Using the Services is deemed that you have read this Agreement and accepted the
constraints of this Agreement.
15.2
Mymax Academy has the right to modify the terms of
this Agreement when necessary. You can read the latest version of the Agreement
on the relevant service pages.
15.3
After the terms of this Agreement are changed, if you continue to use the
software or services provided by Mymax Academy, it is
deemed that you have accepted the changed Agreement.
**Article
16: Service Modification, Interruption, and Termination**
16.1
Mymax Academy may change the content of the Services
based on business strategy adjustments and may interrupt, suspend, or terminate
the Services.
16.2
In the event of a merger, division, acquisition, or asset transfer of Mymax Academy, Mymax Academy may
transfer the relevant assets under this Service to a third party; Mymax Academy may also transfer part or all of the services
and corresponding rights and obligations under this Agreement to a third party
for operation or fulfillment after notifying you unilaterally. The specific
transferee is subject to the notice of Mymax Academy.
16.3
If any of the following circumstances occur, Mymax
Academy has the right to interrupt or terminate the provision of services to
you without notice:
(1)
According to the provisions of laws and regulations, you should submit true
information, but the personal information you provide is not true or
inconsistent with the information registered at the time and you fail to
provide reasonable proof.
(2)
You violate the provisions of relevant laws and regulations or the provisions
of this Agreement.
(3)
At the request of judicial authorities or competent departments according to
laws and regulations.
(4)
For safety reasons or other necessary circumstances.
16.4
Mymax Academy has the right to charge according to
the provisions of Article 8.2 of this Agreement. If you do not pay in full and
on time, Mymax Academy has the right to interrupt,
suspend, or terminate the provision of services.
16.5
You are responsible for backing up the data stored in the Services by yourself.
If your service is terminated, Mymax Academy has the
right to permanently delete your data from the server, except as otherwise
provided by laws and regulations. After the suspension or termination of the
service, Mymax Academy is not obligated to provide or
return data to you.
16.6
If the service period of the producer's service expires and no renewal
operation is performed, the corresponding production content cannot continue to
be used. We consider the user to have abandoned the ownership of the content,
and we can use the content to continue to provide services to platform users.
**Article
17: Jurisdiction and Applicable Law**
17.1
The establishment, effectiveness, performance, interpretation, and dispute
resolution of the Agreement, and other related matters are all subject to the
laws of the People's Republic of China (excluding conflict laws).
17.2
The place of conclusion of this Agreement is Haidian
District, Beijing, People's Republic of China.
17.3
If any dispute or controversy arises between you and Mymax
Academy, it should first be resolved through friendly negotiation; if
negotiation fails, you agree to submit the dispute or controversy to the
people's court with jurisdiction in the place of conclusion of this Agreement (Haidian District, Beijing, People's Republic of China).
17.4
The titles of all terms of this Agreement are for convenience of reading only
and have no actual meaning and cannot be used as a basis for interpreting the
meaning of this Agreement.
17.5
Regardless of the reason for the partial invalidity or unenforceability of the
terms of this Agreement, the remaining terms remain valid and binding on both
parties.
17.6
If this Agreement has multiple language versions such as Chinese and English,
and the content is inconsistent, the content of the Chinese version shall
prevail.
**Article
18: Minor Use Clause**
18.1
If the user is under 18 years old, he/she is a minor and should read this
Agreement and use the Services under the supervision and guidance of a
guardian.
18.2
Minor users are inexperienced in the world, easily confused by the virtual
world of the network, and have strong curiosity. They lack the ability to deal
with emergencies and are vulnerable to being taken advantage of by people with
ulterior motives and lack self-protection ability. Therefore, minor users
should pay attention to the following matters when using the Services to
improve safety awareness and strengthen self-protection:
(1)
Recognize the difference between the online and offline worlds, and avoid
becoming addicted to the network, affecting daily study and life.
(2)
When filling in personal information, strengthen personal protection awareness
to prevent harassment from bad people in personal life.
(3)
Under the guidance of guardians or teachers, learn to use the network
correctly.
(4)
Avoid meeting strangers online casually or participating in networking
activities to prevent criminals from taking the opportunity and endangering
their own safety.
18.3
Guardians and schools should guide minors in using the Services more.
Especially parents should care about the growth of their children, pay
attention to communication with their children, guide the safety issues that
children should pay attention to when surfing the internet, and prevent
problems before they occur.
18.4
Adults over 18 years old who do not have full civil conduct capacity for any
reason shall apply the relevant provisions of the minor use clause of this
Agreement.

19: Miscellaneous**
19.1
If you have any opinions or suggestions on this Agreement or the Services, you
can contact the Mymax Academy customer operations
department, and we will provide you with the necessary help.
